Adviseday LLC provides consulting services primarily for Quick Service Restaurants (QSRs), including but not limited to:

  • QSR Operations
  • QSR Training & Education
  • QSR Finances

Specific services and deliverables will be outlined in separate contracts or service agreements between you and Adviseday LLC.

3. Client Responsibilities

As a client of Adviseday LLC, you agree to:

  • Provide accurate and complete information necessary for the successful delivery of Services.
  • Cooperate with our consultants and team in good faith and in a timely manner.
  • Ensure that you have the necessary authority and permissions to engage in any consulting services, particularly if you are acting on behalf of a business or organization.
  • Make timely payments for Services rendered as per the agreed terms in your service contract or invoice.

4. Fees and Payment

  • Fees: The fees for our consulting services will be outlined in your specific service agreement or proposal. All fees are in USD unless otherwise specified.
  • Payment Terms: Payments are due in accordance with the terms specified in your service agreement or invoice. Late payments may incur additional charges, including interest and late fees.
  • Payment Methods: We accept payment through various methods, including but not limited to credit cards, bank transfers, and checks. Payment methods will be confirmed during the service agreement process.
  • Refunds: Fees for services rendered are non-refundable unless otherwise agreed in writing.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the consulting process. This includes, but is not limited to, business strategies, financial data, customer information, and trade secrets. Confidentiality obligations remain in effect even after the termination of services.

However, we may disclose your information if required by law or as part of legal proceedings, including but not limited to subpoenas or other government orders.

6. Intellectual Property

  • Ownership: All intellectual property created, developed, or provided by Adviseday LLC during the course of consulting services (e.g., reports, analyses, strategies, presentations) remains the property of Adviseday LLC, unless otherwise agreed in writing.
  • License: Upon full payment for the Services, Adviseday LLC grants you a limited, non-transferable, and non-exclusive license to use the deliverables for the purposes intended as outlined in your service agreement.
  • Third-Party Tools: If third-party tools, templates, or software are used during consulting services, their licensing terms will apply, and you will be responsible for complying with those terms.

7. Limitation of Liability

To the fullest extent permitted by law, Adviseday LLC will not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Website or Services. Our total liability to you, regardless of the cause of action, shall be limited to the total fees paid by you to Adviseday LLC for the specific Services that gave rise to the claim during the six (6) months preceding the claim.

We are not responsible for any loss, damage, or failure caused by external factors such as network interruptions, internet outages, or any third-party services that we may use in the course of providing our consulting services.

8. Termination of Services

Either party may terminate the consulting services upon written notice if:

  • The other party breaches any material term of the service agreement and fails to remedy the breach within a reasonable period after being notified.
  • The other party becomes insolvent or files for bankruptcy.

Upon termination, you will remain liable for any outstanding payments for services rendered up until the termination date.

9. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes or claims arising out of or related to these Terms will be resolved through binding arbitration in [Your County], Florida, in accordance with the rules of the American Arbitration Association.
